Feiten
Hier ging het om een verzoek om een prejudiciële beslissing voor de uitlegging van de artikelen 43 en 48 EG, grensoverschrijdende fusies.
Casus
Sevic Systems AG (hierna Sevic) heeft bezwaar ingesteld bij het Landgericht Koblenz, tegen een beslissing van het Amstgericht Neuwied. Sevics verzoek om inschrijving van haar fusie met de te Luxemburg gevestigde vennootschap Security Vision in het handelsregister, werd afgewezen. Dit omdat de Duitse wet slechts voorziet in fusie van vennootschappen met een zetel in Duitsland.
Voor het Landgericht Koblenz hangt het antwoord op de vraag of inschrijving kan worden geweigerd af van de uitlegging van de artikelen 43 en 48 EG, met betrekking tot grensoverschrijdende fusies (zoals hier aan de orde). Het Landgericht Koblenz heeft besloten het HvJEG de volgende prejudiciële vraag te stellen:
Is het in strijd met de vrijheid van vestiging van vennootschappen, als een buitenlandse Europese vennootschap niet haar fusie met een Duitse vennootschap in het handelsregister mag inschrijven?

Artikel 43 en 48 zijn op deze casus van toepassing.
Vrijheid van vestiging strekt zich uit om de betrokken marktdeelnemers in staat te stellen ook daadwerkelijk aan het economisch verkeer deel te nemen. Dezelfde voorwaarden als voor de nationale marktdeelnemers moeten gelden voor die van de lidstaat.
Het Duitse recht schept een ongelijke behandeling van vennootschappen naargelang het een grensoverschrijdende of een interne fusie bevat. Hierdoor kan de vennootschap zich ervan weerhouden om de in het Verdrag opgenomen vrijheid van vestiging uit te oefenen. Dit vormt een beperking in de zin van art 43 en 48 EG en is in strijd met het recht van vestiging. Dit is alleen toelaatbaar indien daarmee een rechtmatig doel wordt nagestreefd dat zich met het Verdrag verdraagt. Ook moet het gerechtvaardigd zijn uit hoofde van dwingende redenen van algemeen belang. De toepassing moet geschikt zijn om het doel te verwezenlijken en mag niet verder gaan dan nodig is om dat doel te bereiken. Dat is hier niet aan de orde.
Conclusie
De artikelen 43 en 48 EG verzetten zich tegen het feit dat een buitenlandse vennootschap niet haar fusie met een Duitse vennootschap in het handelsregister mag inschrijven.
