Casus
De oprichter/enig aandeelhouder/enig bestuurder van Bas-C BV heeft geen bedrag ter volstorting van de aandelen overgemaakt op de bankrekening van de BV, maar een creditsaldo op de bankrekening van de BV i.o., ontstaan door betaling van een opdrachtgever van de BV i.o., aangewezen als kapitaalstorting. Na de oprichting zijn de rechtshandelingen die voor de oprichting namens de vennootschap waren verricht, bekrachtigd. Zijn de aandelen in Bas-C BV rechtsgeldig volgestort?
Hoge Raad
Het volstorten van aandelen in geld moet uiterlijk bij de oprichting van de vennootschap zijn geschied (artikel 2:178 lid 2 BW). Artikel 2:203a lid 1, aanhef en onder b BW strekt ertoe het kapitaal van de op te richten vennootschap te beschermen ten behoeve van mogelijke schuldeisers van die vennootschap en waarborgt dat aan de op te richten vennootschap bij of op enig moment (maar niet eerder dan vijf maanden) voor haar oprichting daadwerkelijk het kapitaal ter beschikking komt te staan dat op de bij de oprichting te plaatsen aandelen dient te worden gestort.
Van volstorting van aandelen in geld kan niet worden gesproken indien het bedrag dat daarvoor door de oprichter wordt bestemd, niet door of namens deze daadwerkelijk aan de BV ter beschikking is gesteld. Heeft, zoals hier, de volstorting van de aandelen plaatsgevonden met gebruikmaking van middelen die tot het vermogen van de vennootschap moeten worden gerekend, dan is niet voldaan aan artikel 2:178 lid 2 BW. Ook wanneer de oprichter over het saldo van de bankrekening van de BV i.o. heeft beschikt zodat hij daaraan als oprichter een bedrag heeft onttrokken, welk bedrag hij vervolgens in privé aan de BV verschuldigd werd ten titel van geldleen nadat de BV deze onttrekkingen had bekrachtigd, staat vast dat de oprichter niet het bedrag van het kapitaal daadwerkelijk vóór de oprichting aan de BV ter beschikking heeft gesteld, maar slechts een vordering ter hoogte van dat bedrag op zichzelf heeft doen ontstaan. Ook dit kan niet als een rechtsgeldige volstorting worden aangemerkt.
De afgifte van een geldige bankverklaring is niet doorslaggevend voor het antwoord op de vraag of is voldaan aan de stortingsplicht op aandelen.
Wordt na het in artikel 2:178 lid 2 BW genoemde tijdstip alsnog aan de stortingsplicht voldaan, dan tast dit de in artikel 2:180 BW bedoelde aansprakelijkheid niet aan.
