Casus

B. richt in 1991 stichting X op, welke de economische eigendom van een monumentaal woonhuis verkrijgt en vervolgens tegen de aankoopprijs verkoopt aan B. ("de eigendomsconstructie"). In 1993 verkoopt B. de economische eigendom van het woonhuis tegen het dubbele van de oorspronkelijke aankoopprijs aan de door hem opgerichte stichting Y. B. is later als bestuurder van de beide stichtingen opgevolgd door, onder meer, zijn partner. De curator in het faillissement van B. stelt in onderhavige procedure dat het meewerken aan de instandhouding van de eigendomsconstructie - waardoor verhaal wordt verijdeld - onrechtmatig is jegens de crediteuren en vordert op die grond onder meer veroordeling van stichting X en haar bestuursleden tot vergoeding van de schade op te maken bij staat. Het hof heeft de vordering jegens de stichting toegewezen.

 

Hoge Raad

Het is niet noodzakelijk dat het woonhuis ooit aan B. in juridische eigendom heeft toebehoord, om te kunnen oordelen dat sprake is van het hiervoor bedoelde, jegens de crediteuren van B. onrechtmatige misbruik van het identiteitsverschil tussen de stichtingen onderling en tussen de stichtingen en B. “Van een dergelijk misbruik kan ook sprake zijn indien iemand een goed waarvan hij alle voordelen geniet met gebruikmaking van dat identiteitsverschil buiten zijn vermogen brengt of houdt zonder daarmee een zelfstandig belang van de betrokken rechtspersoon of -personen te dienen, maar enkel met het oogmerk dat goed aan verhaal van zijn crediteuren te onttrekken. Het oordeel van het hof houdt in dat dit geval zich hier voordoet.” (volgt verwerping van het middel, BE).

    • The topics and taxonomy of the study and working fields gives you insight in the amount of summaries that are tagged by authors on specific subjects. This type of navigation can help find summaries that you could have missed when just using the search tools. Tags are organised per field of study and per study institution. Note: not all content is tagged thoroughly, so when this approach doesn't give the results you were looking for, please check the search tool as back up

    • 'Quick & Easy'- not very elegant but the fastest way to find a specific summary of a book or study assistance with a specific course or subject.
