Rodolphe heeft tezamen met Rhodia N.V. een enquêteverzoek gedaan bij de OK naar de gang van zaken van Emba B.V. Slechts tezamen met Rhodia was Rodolphe rechthebbende op een bedrag van aandelen groter dan het in artikel 2:346, aanhef en onder b BW geëiste belang (nominale waarde van € 225.000 of zoveel minder als de statuten bepalen). Nadat het verzoek was ingediend, heeft Rhodia haar enquêteverzoek ingetrokken. De OK heeft Rodolphe dientengevolge niet-ontvankelijk verklaard in zijn verzoek. Hiertegen richt zich het cassatiemiddel.
Volgens de Hoge Raad was Rhodia op de voet van artikel 283 Rv bevoegd het verzoek, voor zover mede namens haar ingediend, in te trekken zonder daartoe de toestemming van een van de andere procespartijen nodig te hebben, zolang de OK nog geen eindbeschikking had gegeven, dat wil in dit geval zeggen: zolang de OK nog geen onderzoek had bevolen, of dit had geweigerd. De intrekking maakte geen einde aan de aanhangigheid van de zaak, ook niet voor zover het Rhodia betrof, maar had de OK ertoe moeten brengen Rhodia niet-ontvankelijk te verklaren in haar verzoek omdat zij - de OK - dientengevolge op processuele gronden niet toekwam aan een behandeling van de zaak ten principale.
Voorts is voor de ontvankelijkheid van Rodolphe niet beslissend dat Rhodia en hij ten tijde van het indienen van het verzoekschrift tezamen voldoende aandelen in Emba bezaten om de voormelde drempel te overschrijden. De wettelijke kapitaalseis van artikel 2:346, aanhef en onder b BW, vindt zijn rechtvaardiging in de omstandigheid dat het instellen van een enquête om diverse redenen bezwarend is voor de desbetreffende vennootschap en de met haar verbonden onderneming. Daarom wordt een minimale steun van het verzoek verlangd, gemeten aan - in gevallen als deze - het bezit van (certificaten van) aandelen van de vennootschap. Het strookt met deze ratio dat de OK onderzocht of de op het moment van zijn beslissing nog overblijvende verzoeker (Rodolphe) voldeed aan de voormelde wettelijke kapitaalseisen en in dat verband geen betekenis toekende aan de omstandigheid dat het verzoek aanvankelijk mede werd gesteund door Rhodia.
