Casus

Sinds maart 1982 heeft Alog een bedrijfsruimte gehuurd van Euro Invest. In het huurcontract was overeengekomen dat Alog de verplichting had om de bedrijfsruimte als supermakt te gebruiken en van voldoende inventaris moest voorzien. De vraag die luidt: blijft de onderhuurder overigens altijd met lege handen achter jegens de hoofdverhuurder? In deze zaak blijkt dat dat niet altijd het geval is. Het was hier geen kwestie van ‘waken’ door onderverhuurder B maar een zaak van regelrechte bescherming van onderhuurder Versman (C) tegen plannen van hoofdverhuurder Alog waardoor Versman (C, die een ‘winkel-in-winkel’ exploiteerde) op straat was komen te staan.

Hoge Raad

Via de band van de derdenwerking van overeenkomsten wijst de Hoge Raad zelf op de actualiteit van een oud arrest in een fraaie overweging met algemene geldigheid.

‘Wanneer iemand zich contractueel heeft gebonden, waardoor de contractverhouding waarbij hij partij is in het rechtsverkeer een schakel is gaan vormen waarmee de belangen van derden, die aan dit verkeer deelnemen, in allerlei vormen kunnen worden verbonden, staat het hem niet onder alle omstandigheden vrij de belangen te verwaarlozen die derden bij de behoorlijke nakoming van het contract kunnen hebben’. De verhuurder A dient zo bezien in zekere zin óók te ‘waken’ dat hij eenmaal met zijn instemming de ontstane situatie waarin een onderhuurder C tot investeringen is overgegaan niet onnodig noch op onnodig ruwe wijze onderbreekt. Eventueel zal hij C pas tot ontruiming kunnen nopen als hij deze een redelijke schadeloosstelling aanbiedt.
