Overheid kan beleidsdoelen nastreven met bestuursrechtelijke en privaatrechtelijke instrumenten

Soorten privaatrechtelijk handelen
Aanvaardbaar handelen (mag de overheid net zoals een eigenaar van haar bevoegdheden gebruikmaken of niet door haar bijzondere positie)
Beschikking: inhoud:
Individueel: persoonsgericht
Concreet: zaaksgericht
Overheidsrechtspersonen zijn dus drager vermogensrechtelijke bevoegdheden, plichten en rechten en kunnen bijvoorbeeld zijn:
Eigenaar (art. 5:1 BW)
Partij overeenkomst (6:213 BW) met particulieren of andere overheidsrechtspersonen
Eiser in actie uit onrechtmatige daad (art. 6:162 BW)
Beperking op grond van het publiekrecht:
Gemene rechtsleer: BW exclusief bepalend. Vroeger aanvaard: Eindhoven/Staals1968: tweewegenleer toegestaan, ook ter behartiging algemeen belang. Privaatrecht leidend: publiekrechtelijke normen niet van toepassing op privaatrechtelijk handelen overheid
Twee problemen:
De leer maakt ten onrechte geen principieel verschil tussen de aard van de toepasselijke privaatrechtelijke en bestuursrechtelijke regels
De leer beschouwt ten onrechte het privaatrecht als het algemene recht en maakt hij van het bestuursrecht slechts het bijzondere uitzonderingsrecht
Gemende rechtsleer: civiele en publiekrechtelijke normen zijn van toepassing: publiekrecht bepaalt grenzen. Windmill-arrest: verbod doorkruising publiekrecht. Kunst & Antiekstudio 1991: ruimte privaatrecht/geen principiële keuze publiekrecht
Invullende rechtsleer: vanwege het legaliteitsbeginsel is het publiekrecht exclusief bepalend (Maastrichtse school)
Gemeenschappelijke rechtsleer: er is een algemene rechtsbron waaruit publiek en privaatrecht putten
De overheid moet zijn Beginselen van Behoorlijk Bestuur in acht blijven nemen. Niet omdat de overheid zich als private partij zich gedraagt. Zo was in het arrest Amsterdam/Ikon de vraag of de overheid aan deze beginselen moest houden, nu zij als erfpachter de grond had gegeven aan Ikon en daar voorwaarden aan had gesteld. De Hoge Raad vond alsnog dat de gemeente zich aan deze beginselen moest houden. Ook de civiele rechter mag het bestuursoptreden toetsen aan de Algemene Beginselen van Behoorlijk Bestuur, dus ook het privaatrechtelijke optreden.
