Onderdrecht/FGH - Arrest

HR 16 september 1988 (Onderdrecht/FGH)

Casus:

Het gaat in deze zaak om een aantal hypotheken, door Balkema (rechtsvoorgangster van Onderdrecht) ten behoeve van PHP gevestigd “tot zekerheid voor de voldoening en/of teruggave van al hetgeen de bank, uit hoofde van verschafte en/of te verschaffen geldleningen, kredieten, voorschotten of uit welke andere hoofde ook, thans of te eniger tijd te vorderen heeft of zal hebben”. Nadat de kredietrelatie tussen PHP en Balkema geëindigd is, heeft PHP de restantvordering uit de kredietrelatie aan FGH gecedeerd. Partijen verschillen nu van mening over de vraag of door deze cessie ook de hypotheken op FGH als hypotheekhoudster zijn overgegaan. Onderdrecht BV heeft zich op het standpunt gesteld dat deze hypotheken zijn aan te merken als zogenaamde bankhypotheken, hetgeen onder meer meebrengt dat bij cessie door de bank van een door deze hypotheken gedekte vordering het recht van hypotheek niet overgaat op de cessionaris.

Rechtsregel:

Of de onderhavige hypotheek als krediet- dan wel als bankhypotheek moet worden aangeduid, is slechts een vraag van benaming die over het wezen van de rechtsverhoudingen weinig zegt; het gaat erom wat partijen bij het vestigen van de hypotheken hebben beoogd. De vraag of de omschrijving van de bestaande en toekomstige vorderingen waarvoor een hypotheek tot zekerheid zal strekken, meebrengt dat de hypotheek uitsluitend en dus ook in geval van cessie toekomt aan degene ten behoeve van wie zij is gevestigd, is in beginsel een uitleg van die omschrijving, zoals zij in de hypotheekakte is opgenomen. Dit is een feitelijk oordeel. Volgens het Hof brengen genoemde omstandigheden met zich mee dat de cessie van de restantvordering van PHP en FGH overgang van de hypotheken tot gevolg heeft gehad.
