Noch in de huidige wettelijke regeling, noch in de thans bekende voorstellen tot wijziging daarvan, noch in de in Nederland aanvaarde inzichten omtrent corporate governance, is volgens de Hoge Raad voldoende steun te vinden voor de door de OK aanvaarde rechtsregel, inhoudende dat een verplichting tot voorafgaande consultatie van de AVA bestaat in het geval dat het bestuur van een vennootschap geen medewerking wil verlenen aan een in de openbaarheid gebracht onderhands bod op een wezenlijk deel van de activiteiten van de vennootschap.         

Daarbij is in aanmerking te nemen dat afwijzing van een dergelijk bod in de regel meebrengt dat in de wezenlijke kenmerken van de vennootschap en in het profiel van de daaraan verbonden onderneming geen verandering wordt gebracht, laat staan een wijziging van zo ingrijpende aard dat instemming vooraf of goedkeuring achteraf van de AVA vereist zou zijn. Aan een verplichting tot voorafgaande consultatie zijn zodanige bezwaren verbonden, dat die niet kan worden aanvaard zonder een wettelijke of statutaire regeling, met name omtrent de omstandigheden waaronder de verplichting ontstaat en het tijdstip waarop een consultatie zou moeten plaatsvinden, alsmede omtrent de consequenties die aan de niet-naleving van die verplichting zouden moeten worden verbonden. Bij gebreke van een dergelijke nadere regeling zou een verplichting tot voorafgaande consultatie van de AVA, naast of in plaats van een eventueel vereiste van voorafgaande instemming of goedkeuring achteraf, tot onaanvaardbare rechtsonzekerheid leiden.     

Voorts is bij een beursvennootschap in aanmerking te nemen dat in het kader van een voorafgaande consultatie te verstrekken informatie over de aanvaardbaarheid van een onderhands bod en over mogelijk door het bestuur van de vennootschap overwogen alternatieven, mede aan het beleggend publiek beschikbaar zal moeten worden gesteld.

Below you will find some start magazines per field of study
  2. Use the topics and taxonomy terms
    • The topics and taxonomy of the study and working fields gives you insight in the amount of summaries that are tagged by authors on specific subjects. This type of navigation can help find summaries that you could have missed when just using the search tools. Tags are organised per field of study and per study institution. Note: not all content is tagged thoroughly, so when this approach doesn't give the results you were looking for, please check the search tool as back up
  3. Check or follow your (study) organizations:
    • by checking or using your study organizations you are likely to discover all relevant study materials.
    • this option is only available trough partner organizations
  4. Check or follow authors or other WorldSupporters
    • by following individual users, authors  you are likely to discover more relevant study materials.
  5. Use the Search tools
    • 'Quick & Easy'- not very elegant but the fastest way to find a specific summary of a book or study assistance with a specific course or subject.
