De OK heeft op grond van artikel 2:349a BW de vrijheid heeft zodanige onmiddellijke voorzieningen te treffen als zij in verband met de toestand van de rechtspersoon noodzakelijk acht, ook indien daarbij tijdelijk inbreuk wordt gemaakt op de geldende rechtsverhoudingen binnen de rechtspersoon en dat aan het treffen van zodanige voorzieningen niet zonder meer in de weg behoeft te staan dat deze kunnen leiden tot onomkeerbare gevolgen, mits de voorziening naar haar aard een voorlopige is en bij het treffen van een zodanige voorziening voldoende rekening is gehouden met en een billijke afweging heeft plaatsgevonden van, de belangen van de betrokken partijen. Dit brengt mee dat de OK iedere voorziening van voorlopige aard mag treffen mits met het oog op de gevolgen ervan een billijke afweging van de belangen van partijen heeft plaatsgevonden en de noodzaak van deze voorziening voldoende is gebleken. Het laatste is met name ook het geval als naar het oordeel van de OK een minder ingrijpende maatregel niet effectief zou zijn. De OK mag, als aan deze voorwaarden is voldaan, derhalve ook voor ten hoogste de duur van het geding een commissaris aanstellen met bijzondere, van bepalingen van dwingend recht afwijkende bevoegdheden, ook als dit betekent dat de algemene vergadering van aandeelhouders en de andere commissarissen daardoor in zoverre tijdelijk buiten spel komen te staan.
Hieraan doet niet af dat uit het bepaalde in artikel 2:356, aanhef en onder d BW voortvloeit dat aan een op de voet van artikel 2:356, aanhef en onder c BW aangestelde commissaris geen andere bevoegdheden kunnen worden toegekend dan de wet toelaat. Met artikel 2:349a BW heeft de wetgever beoogd de OK een zelfstandige bevoegdheid te geven om voor ten hoogste de duur van het geding onmiddellijke voorzieningen te treffen in verband met de toestand van de rechtspersoon of in het belang van het onderzoek naar het beleid en de gang van zaken van een rechtspersoon als bedoeld in artikel 2:345 BW, die zich niet beperken tot en los staan van, de in artikel 2:356 BW genoemde maatregelen. Deze voorzieningen hebben, anders dan de in artikel 2:356 BW limitatief opgesomde maatregelen, het karakter van een ordemaatregel.
