De faillissementswet kent drie middelen:Faillissement Surseance van betalingSchuldsaneringBuiten het faillissement om kan tot een oplossing worden gekomen door middel van een onderhands akkoord. Zo’n akkoord wordt geregeld door de regels van boek 6 van het burgerlijk wetboek. Een schuldenaar wil altijd een schone lei. Bij een faillissement is er geen schone lei, omdat er niet voldoende activa is om alle schuldeisers te voorzien. De wet schuldsanering natuurlijke personen heeft als doel het voorkomen van faillissementen. Twee belangrijke regels uit Boek 3 BW:Art. 3:276 BW: Een schuldeiser kan zijn vordering op alle goederen van zijn schuldenaar verhalen, tenzij de wet of een overeenkomst anders bepaalt.Art. 3:277 BW: Schuldeisers onderling hebben in beginsel gelijke rechten. Men spreekt over het paritas creditorum-beginsel. Dit geldt alleen voor concurrente schuldeisers, zij moeten preferente schuldeisers voor laten gaan.Preferente schuldeisers kunnen worden onderverdeeld in twee categorieën:Separatisten; hypotheekhouders, pandhouders en retentors.Bevoorrechte schuldeisers; onder andere aannemers en werknemers.Wanneer een preferente schuldeiser een restantvordering overheid wordt het een concurrente schuldeiser. Een voorrecht blijkt uit de wet en kan niet bij contract worden bepaald. De definitie van faillissement is: een algemeen beslag op het gehele vermogen van de schuldenaar ten behoeve van de gezamenlijke schuldeisers. Dit blijkt uit de memorie van toelichting. There are several ways to navigate the large amount of summaries, study notes en practice exams on JoHo WorldSupporter.
