Casus

Een bestuurder van Berghuizer Papierfabriek NV (BPF) heeft aan derden optierechten verleend op de aandelen die BPF hield in een andere vennootschap hield. In de statuten was bepaald dat voor een dergelijke handeling goedkeuring vereist was van de raad van commissarissen. Dat was in dit geval niet gebeurd. BPF stelt de bestuurder vervolgens aansprakelijk op grond van art 2:9, onbehoorlijke taakvervulling.

 

Rechtsvraag

Levert het handelen in strijd met de statuten aansprakelijkheid op in de zin van art 2:9?

 

Rechtsregel

Voor aansprakelijkheid op grond van art 2:9 is vereist dat de bestuurder een ernstig verwijt gemaakt kan worden van de betreffende handeling. Of van een ernstig verwijt sprake is, moet beoordeeld worden aan de hand van de omstandigheden van het geval. Indien er gehandeld wordt in strijd met een statutaire bepaling die de vennootschap beoogt te beschermen dan moet dat worden aangemerkt als een zwaarwegende omstandigheid, die in beginsel aansprakelijkheid van de bestuurder vestigt. De rechter moet feiten en omstandigheden, die de bestuurder heeft aangevoerd op grond waarvan zou kunnen worden aangenomen dat het handelen in strijd met de statuten niet een ernstig verwijt oplevert, uitdrukkelijk in zijn oordeel betrekken.

    • by checking or using your study organizations you are likely to discover all relevant study materials.
    • this option is only available trough partner organizations
  4. Check or follow authors or other WorldSupporters
    • by following individual users, authors  you are likely to discover more relevant study materials.
  5. Use the Search tools
    • 'Quick & Easy'- not very elegant but the fastest way to find a specific summary of a book or study assistance with a specific course or subject.
