‘Kan een vervallen aanvaarding nog worden aanvaard?’

Wanneer een aanbod is vervallen, kan er toch nog een overeenkomst tot stand komen, wanneer de aanbieder de aanvaarding toch nog accepteert of als de wederpartij niet wist dat hij te laat heeft aanvaard en dit ook niet behoefde te weten.

Hoe komen overeenkomsten tot stand?

Op grond van artikel 6:217 lid 1 BW komen overeenkomsten tot stand door aanbod en aanvaarding daarvan. Een mondeling aanbod vervalt als het niet direct wordt geaccepteerd, zo blijkt uit artikel 6:221 lid 1 BW. Een schriftelijk aanbod dient daarentegen binnen een redelijke termijn aanvaard te worden. Wanneer er een termijn is vastgesteld, kan de aanbieder het aanbod normaliter niet herroepen blijkens artikel 6:219 lid 1 BW. Toch kan een vervallen aanbod alsnog worden aanvaard, wanneer de aanbieder aan de wederpartij laat weten dat het aanbod alsnog als tijdig wordt aangemerkt of wanneer het voor de wederpartij niet duidelijk was dat het aanvaarding te laat geschiedde. In een dergelijk geval kan de aanbieder bepalen dat de aanvaarding alsnog te laat is geschied en er dus alsnog geen overeenkomst tot stand is gekomen.

Hoe kijkt de Hoge Raad tegen dit leerstuk aan?

De Hoge Raad heeft bepaald dat het risico van te late aanvaarding wordt verdeeld over de partijen, in overeenstemming met het vertrouwensbeginsel. De aanbieder dient, wanneer hij weet of kan weten dat de wederpartij denkt dat hij alsnog tijdig heeft aanvaard, de wederpartij direct mee te delen dat er geen sprake is van een tijdige aanvaarding. Indien dat niet gebeurt, dan mag de wederpartij er vanuit gaan dat hij alsnog tijdig heeft aanvaard.

When you have found a magazine of your likings, add that page to your favorites so you can easily go to that starting point directly from your profile during future visits. Below you will find some start magazines per field of study
  2. Use the menu above every page to go to one of the main starting pages
  3. Tags & Taxonomy: gives you insight in the amount of summaries that are tagged by authors on specific subjects. This type of navigation can help find summaries that you could have missed when just using the search tools. Tags are organised per field of study and per study institution. Note: not all content is tagged thoroughly, so when this approach doesn't give the results you were looking for, please check the search tool as back up
  4. Follow authors or (study) organizations: by following individual users, authors and your study organizations you are likely to discover more relevant study materials.
  5. Search tool : 'quick & dirty'- not very elegant but the fastest way to find a specific summary of a book or study assistance with a specific course or subject. The search tool is also available at the bottom of most pages
