BabyXL (HR 13-05-2005 NJ 2005, 406)
Casus
In de zaak BabyXL is sprake van een huurovereenkomst. Zodra de huurder gesurseëerd wordt, ontbindt verhuurder de huurovereenkomst met onmiddellijke ingang. De verhuurder doet dit op grond van een bepaling in de overeenkomst die uitmaakt dat hij hierop recht heeft indien o.a. de huurder surseance aanvraagt. De huurder stelt dat een dergelijke bevoegdheid in strijd is met de wet en wel met artikel 238 Fw. In faillissement is wel een bevoegdheid tot onmiddellijke beëindiging gegeven (art. 39 Fw) aan de verhuurder, maar bij surseance uitdrukkelijk niet, mede in het licht van de verschillende doelen van beide rechtsfiguren. Het doel van surseance is immers niet vereffening.
Rechtsvraag
In het geding gaat het om de vraag of een dergelijke bepaling, op grond waarvan de verhuurder de huur kan beëindigen in geval van surseance, in strijd is met het systeem van de wet.
Hoge Raad
Het beroep van huurder slaagt niet. Het beding is niet in strijd met het systeem van de wet en hiervoor geeft de HR de volgende argumenten:
- Zowel algemeen faillissement als surseance zijn op zichzelf niet van invloed op bestaande wederkerige overeenkomsten van de schuldenaar (de huurder) Dit maakt de huurovereenkomst en dus het beding geldig. Het staat verhuurder dus vrij een dergelijk beding op te nemen en in te roepen, ook al biedt de faillissementswet andere mogelijkheden.
De HR merkt tot slot nog op dat een dergelijk beding kan worden tegengegaan door een beroep te doen op art. 6:248 lid 2 BW. Met name indien doorbetaling van de huur tijdens de surseance verzekerd lijkt te zijn. Hiermee opent de HR de deur naar de redelijk en billijkheid in dergelijke gevallen.
