Casus
Het gaat in deze zaak onder meer om besluitvorming over het ontslag van bestuurders en commissarissen, buiten vergadering en door een enig aandeelhouder en de raadgevende stem van bestuurders en commissarissen daarin.
Hoge Raad
Artikel 2:238 lid 1 jo. 2 BW eist voor de besluitvorming van de aandeelhouders buiten vergadering niet meer dan dat de aandeelhouders met algemene stemmen besluiten en hun stem schriftelijk uitbrengen, hetgeen in het geval van besluiten genomen door de enige aandeelhouder betekent dat voldoende is dat diens besluit schriftelijk wordt vastgelegd.
Bestuurders en de commissarissen hebben als zodanig in de algemene vergadering een raadgevende stem (artikel 2:227 lid 7 BW). Dit geldt ook voor besluiten buiten vergadering, ook voor een besluit buiten vergadering tot ontslag.
