Casus
De aandelen van LIR BV zijn in handen RDB BV. RDB was statutair bestuurder van LIR. De heer Reinders is bestuurder van RDB. De aandelen van RDB worden gehouden door de Stichting Administratiekantoor Aandelen Reinders Didam Beheer, waarvan Reinders ook bestuurder is. In opdracht van RDB heeft LIR werkzaamheden verricht. Deze resulteerden in een vordering van LIR op RDB. RDB heeft als enig aandeelhouder het besluit genomen een fors bedrag als dividend uit te keren aan haarzelf. Betaling daarvan heeft (deels) plaatsgevonden via verrekening met de vordering van LIR op RDB. De curator in het faillissement van LIR spreekt RDB als bestuurder van LIR aan tot betaling van de tekorten van de faillissementsboedel, onder meer gegrond op de onrechtmatigheid van het dividendbesluit.
Hoge Raad
Ook indien van de geldigheid van het dividendbesluit als zodanig moet worden uitgegaan, volgt daaruit niet dat de uitvoering van dat besluit tegenover derden, zoals schuldeisers van de vennootschap, niet onrechtmatig kan zijn (HR 8 november 1991, NJ 1992, 174 (Nimox/Van den End q.q.)) en/of niet als kennelijk onbehoorlijke taakvervulling van het bestuur kan worden aangemerkt.
Door aan de voorbereiding en de uitvoering van het uitkeringsbesluit haar medewerking te verlenen, heeft RDB (en Reinders ex artikel 2:11 BW) haar taak als bestuurder kennelijk onbehoorlijk verricht, nu die uitkering het redelijkerwijs te verwachten gevolg heeft dat de vorderingen van de vennootschapscrediteuren niet meer (volledig) voldaan kunnen worden.
