Marleasing (HvJ 13-11-1990, Zaak C-106/89)
Casus
Spaanse nv Marleasing vorderde nietigverklaring van een andere Spaanse bv La Commercial.
Reden: Oprichting zou geen geldige oorzaak hebben. Spaans recht: oprichting moet geldige oorzaak hebben. La Commercial: Spaanse regeling is in strijd met art. 11 Richtlijn. Prejudiciële vraag aan het Hof.
Hof
Eerste vraag: kan de richtlijn worden ingeroepen door particulier: geen rechtstreekse werking richtlijnen.
'Er is wel een verplichting Spaans recht toe te passen naar de richtlijnen, je moet het nationale recht zo uitleggen dat het in overeenstemming is met de richtlijn.
Je mag niet zeggen dat de richtlijn rechtstreeks werkt
Er is geen rechtstreekse werking, maar het komt wel heel erg in de buurt.
Pas dit toe op art. 2:4: zo uitleggen dat er wél een rechterlijke uitspraak vereist is. Het is zeker waar dat nationale bepalingen zoveel mogelijk moeten worden uitgelegd in het licht van Richtlijnbepalingen waaraan zij hun ontstaan danken.
