Damen/Geho (Café 't Brouwertje) - Arrest
Damen/Geho (Café 't Brouwertje) (HR 3 februari 1984, NJ 1984, 386)
Feiten
Groothandel Geho BV ontving op 14 februari 1980 namens Café ’t Brouwertje een bestelling voor een hoeveelheid glaswerk. Later leverde Geho de bestelling door dit mee te geven aan twee personen die zeiden namens het café het glaswerk te komen afhalen. De betaling van de factuur ƒ1.750 bleef echter uit. Geho BV raadpleegde daarom het Handelsregister voor meer informatie. Volgens de gegevens van de Kamer van Koophandel was de heer Damen eigenaar van Café ’t Brouwertje sinds 1971 en daarmee hoofdelijk verbonden voor de betaling van de factuur.
Geho dagvaardde Damen. Damen gaf toen aan dat hij het café in oktober 1979 had verkocht aan mw. Nieuwenhuizen. Damen was dus geen eigenaar meer van het café, hij had het verkocht, maar was zich vergeten uit te schrijven. Hij had deze wijziging pas veel later, in augustus 1980, aan het Handelsregister doorgegeven. Damen ontkende ooit glaswerk bij Geho gekocht te hebben en de handtekening op de orderbevestiging was ook niet van hem. Volgens Damen kon Geho geen beroep doen op het Handelsregister omdat Geho ten tijde van het aangaan van de koopovereenkomst het Handelsregister (artikel 31 Handelsregisterwet) niet had geraadpleegd. Geho stelde dat het tijdstip van raadpleging geen rol speelde. Immers een feit dat niet in het Handelsregister staat (dat het café verkocht is), kan niet aan haar worden tegengeworpen, nu zij van dit feit niet op de hoogte was.
Hoge Raad
De vraag die speelt is of een partij zich op het Handelsregister kan beroepen als dit pas achteraf wordt geraadpleegd.
De Hoge Raad stelt dat het checken van het Handelsregister voor het afsluiten van elke transactie in strijd is met de behoeften van een vlot verlopend handelsverkeer. Een partij moet kunnen vertrouwen op de gegevens in het Handelsregister, ook wanneer het register niet of pas achteraf wordt geraadpleegd. Damen stond ten tijde van de bestelling ingeschreven als eigenaar van het Café en derhalve kon hij worden aangesproken op de betaling.
Kern
Wanneer men telkens verlangt om vóór het afsluiten van elke transactie in het register te kijken zou dit in strijd zijn met de behoeften van een vlot lopend handelsverkeer. De inschrijvingsplichtigen kunnen aan derden de onjuistheid of onvolledigheid van de inschrijving niet tegenwerpen, ongeacht of die derden in vertrouwen op de inschrijving hebben gehandeld dan wel eerst later het handelsregister hebben geraadpleegd. Geho mocht dus vertrouwen op het register.
