Casus
Deze zaak betreft in cassatie de vraag of een in algemene inkoopvoorwaarden opgenomen cessieverbod moet worden uitgelegd als een onoverdraagbaarheidsbeding (met goederenrechtelijke werking) in de zin van artikel 3:83 lid 2 BW.
Hoge Raad
In zijn arrest van 17 januari 2003, NJ 2004, 281 (Oryx/Van Eesteren) heeft de Hoge Raad geoordeeld (kort gezegd) dat een verpandingsverbod zoals in die zaak aan de orde, ingevolge artikel 3:83 lid 2 BW niet leidt tot beschikkingsonbevoegdheid van de gerechtigde tot de vordering, maar tot niet-overdraagbaarheid van de vordering zelf. Een handeling in strijd met zo’n beding levert niet slechts wanprestatie van de schuldeiser tegenover zijn schuldenaar op, maar kan bovendien niet leiden tot een geldige overdracht of verpanding van die vordering. Noch het feit dat de cessionaris dan wel de pandnemer niet op de hoogte was van dat verbod, noch het bepaalde in artikel 3:36 BW, doet eraan af dat het verbod in de weg staat aan een rechtsgeldige overdracht respectievelijk verpanding. Dit oordeel komt erop neer dat partijen goederenrechtelijke werking kunnen geven aan een contractueel overdraagbaarheids- of verpandingsverbod. De Hoge Raad ziet onvoldoende aanleiding tot heroverweging van zijn rechtspraak.
Een uitlegregel die ertoe strekt dat een contractueel verbod tot overdracht of verpanding, bij gebreke van aanwijzingen voor het tegendeel, zo moet worden uitgelegd dat daarmee goederenrechtelijke werking is beoogd, is niet aanvaard in genoemd arrest en is bovendien onjuist.
Een beding inzake een verbod tot overdracht of verpanding dat naar zijn aard mede is bestemd om de rechtspositie te beïnvloeden van derden die de bedoeling van de contracterende partijen niet kennen, en dat ertoe strekt hun rechtspositie op uniforme wijze te regelen, dient te worden uitgelegd naar objectieve maatstaven, met inachtneming van de Haviltexmaatstaf (zie HR 20 februari 2004, NJ 2005, 493 (DSM/Fox)). Als uitgangspunt bij de uitleg van bedingen die de overdraagbaarheid van een vorderingsrecht uitsluiten, moet worden aangenomen dat zij uitsluitend verbintenisrechtelijke werking hebben, tenzij uit de –naar objectieve maatstaven uit te leggen– formulering daarvan blijkt dat daarmee goederenrechtelijke werking als bedoeld in artikel 3:83 lid 2 BW is beoogd.
De Hoge Raad vernietigt het arrest van het hof en verwijst het geding ter verdere behandeling en beslissing.
