Casus
Bij vonnis van 1 december 2009 heeft de rechtbank A. B.V. in staat van faillissement verklaard. Tussen de curator Hielkema en de bank is overeenstemming bereikt over de verkoop van de aan de bank verpande roerende zaken van A. B.V. De R-C heeft daartoe toestemming verleend.
Nadat tussen de curator en de bank discussie was ontstaan over het antwoord op de vraag of ter zake van de verkoop aan de afnemer omzetbelasting in rekening moest worden gebracht, heeft de belastingdienst de curator geadviseerd de zogenoemde verleggingsregeling toe te passen, zoals bedoeld in art. 12 lid 4, van de Wet op de omzetbelasting 1968 in samenhang met art. 24ba lid 1, aanhef en onder d, van het Uitvoeringsbesluit omzetbelasting 1968. De bank heeft zich op de voet van art. 69 F. tot de rechter-commissaris gewend met het verzoek de curator te gelasten de verleggingsregeling niet toe te passen. De rechter-commissaris heeft dit verzoek afgewezen omdat het verzoek zich niet leent voor toepassing van art. 69 F.
Rechtsvraag
In de zaak die volgt moet de Hoge Raad kijken naar de bevoegdheid van de pandhouder tot executoriale verkoop.
Hoge Raad
De Hoge Raad stelt: “Een pandhouder is uit hoofde van art. 3:248 lid 1 BW bevoegd het verpande goed te verkopen en op de opbrengst daarvan het hem verschuldigde te verhalen, als de schuldenaar in verzuim is met de voldoening van hetgeen waarvoor het pand tot zekerheid dient. Deze verkoop geschiedt ingevolge art. 3:250 BW in het openbaar, maar op grond van art. 3:251 BW is ook onderhandse verkoop mogelijk. In al deze gevallen oefent de pandhouder het recht van parate executie uit als bedoeld in art. 3:248 lid 1 BW. Daaronder valt mitsdien ook het geval dat de pandhouder en de pandgever op de voet van art. 3:251 lid 2 BW onderhandse verkoop zijn overeengekomen. Er is geen grond hierop een uitzondering aan te nemen als de pandhouder en de pandgever van deze hun in de wet verleende vrijheid gebruik hebben gemaakt door overeen te komen dat deze onderhandse verkoop door de pandgever zal geschieden. Ook in dat geval geschiedt de verkoop van het verpande immers ten behoeve van de pandhouder en kan deze zich als separatist verhalen op de opbrengst daarvan.”
De Hoge Raad oordeelt dat ook een verkoop door de eigenaar/pandgever een onderhandse executoriale verkoop als bedoeld in art. 3:251 lid 2 BW kan zijn. Een verkoop die plaatsvindt op een op de voet van art. 3:251 lid 2 BW overeengekomen wijze, heeft een executoriaal karakter.
In deze zaak wordt uitdrukkelijk overwogen dat een executoriale verkoop ook door de pandgever kan geschieden.
