Rechtsvraag
Is voor vernietiging van een overeenkomst vanwege een strekking die strijdig is met de goede zeden vereist dat duidelijk is dat schuldeisers daadwerkelijk (zullen) worden benadeeld?
Casus
Eiser tot cassatie heeft met de dochter van verweerder in cassatie een overeenkomst gesloten die inhoudt dat alle liquide middelen van eiser naar de dochter zullen worden overgesluisd om deze inkomsten zodoende onbereikbaar te maken voor schuldeisers. In ruil hiervoor vestigt de dochter ten behoeve van eiser tot cassatie een pandrecht op al haar vorderingen.
Als het huwelijk ontbonden is, wil eiser zijn geld terug. De dochter wordt veroordeeld tot terugbetaling. De vader van de dochter heeft echter een rekening geopend waarover de dochter kan beschikken. Omdat het erop lijkt dat dochter de gelden naar vader heeft doorgesluisd, spreekt eiser vader aan. Hij baseert zich hierbij op het gevestigde pandrecht.
Rechtsgang
Het Hof oordeelt dat de vordering faalt omdat er geen geldig pandrecht gevestigd is vanwege strijdigheid van de strekking van de overeenkomst met de goede zeden. In cassatie voert eiser aan dat het arrest van het Hof vernietigt dient te worden, omdat niet duidelijk is dat de overeenkomst tot doel had schuldeisers te benadelen. De HR verwerpt dit betoog en stelt dat deze benadeling ook niet vereist is. Voor vernietiging is de onzedelijke strekking op zich al genoeg (r.o. 3.3.2). Het betoog van de man slaagt echter wel op het punt dat een beroep op de nietigheid van de overeenkomst door de vader niet slaagt door de redelijkheid en billijkheid.
Leerstuk
Anders dan voor pauliana is (potentiële) benadeling van schuldeisers bij vernietiging vanwege een strekking strijdig met de goede zeden niet vereist. De nietigheid is immers al het gevolg van de onzedelijke strekking van de overeenkomst.
