Casus
Een ziekenhuis heeft de inning van zijn vorderingen uitbesteed aan een incassobureau. Dit heeft daarvoor een bankrekening geopend op eigen naam, doch onder de toevoeging "inzake Coöperatie Beatrix". Op deze rekening werden uitsluitend betalingen van patiënten ontvangen. Het incassobureau is failliet gegaan.
Rechtsvraag
De vraag is of het saldo op de rekening tot de failliete boedel behoort; anders gezegd: of het bij die rekening gaat om een kwaliteitsrekening, met als gevolg dat het saldo is afgescheiden van die boedel.
Hoge Raad
Aanvaarding van een kwaliteitsrekening betekent dat een uitzondering wordt gemaakt op het in art. 3:276 BW bepaalde. Volgens dit artikel kan een uitzondering daarop slechts worden aanvaard als de wet anders bepaalt (behoudens het geval van een afwijkende overeenkomst). De HR heeft dan wel in Slis-Stroom voor een specifiek geval een uitzondering op dit uitgangspunt aanvaard, maar met verdere uitbreiding daarvan dient terughoudendheid te worden betracht gezien de rechtszekerheid en de belangen van het financieringsverkeer. Dit klemt temeer gelet op het feit dat de wetgever het arrest Slis-Stroom inmiddels gecodificeerd heeft met daarbij aangetekend dat terughoudendheid gepast is. Dit specifieke geval is de algemene kwaliteitsrekening, aan te houden door notarissen en gerechtsdeurwaarders (art. 25 Wet op het notarisambt en in art. 19 Gerechtsdeurwaarderswet), waarbij de wetgever de door de HR (zie hierboven) genoemde uitgangspunten overneemt. Overeenkomstige toepassing van de regeling opgenomen in art. 25 Wet not.mbt en art. 19 Ger.deurw.wet op de door advocaten en accountants met het oog op het ontvangen van voor derden bestemde gelden aangehouden rekeningen is dan ook, als passend binnen het stelsel van de wet en aansluitend bij de wel in de wet geregelde gevallen, mogelijk.
De onderhavige, door thans verweerster in cassatie aangehouden "inzake"-rekening, waarop uitsluitend betalingen werden ontvangen van patiënten van eiseres, betreft, gelet op het vorenoverwogene, niet een kwaliteitsrekening; het saldo op de rekening behoort tot de failliete boedel van verweerster.
