Bato's erf - Arrest
Bato’s Erf (HR 16 juni 1995)
Casus
Het ging in dit geval om een bedrijfsterrein. Op dit terrein was tot 1982 een steenfabriek gevestigd en het terrein werd in 1998 verkocht. De nieuwe eigenaar kwam erachter dat er sprake was van bodemverontreiniging. De Nederlandse Staat zocht verhaal op de veroorzaker van de verontreiniging. De Staat heeft immers saneringskosten moeten maken. Bato’s Erf Beheer Nijmegen was de moedermaatschappij en had een nauwe verwevenheid met de eigenaar van de steenfabriek. De vraag was dus of ze met Bato’s erf vereenzelvigd konden worden. Deze vraag is van belang, omdat alleen Bato’s Erf aansprakelijk gesteld kon worden voor de bodemverontreiniging tot het jaar 1982. Men kon Bato’s erf aansprakelijk stellen op grond van de onrechtmatige daad. De aansprakelijkstelling voor bodemverontreiniging is immers alleen mogelijk voor een handelen of nalaten na 1 januari 1975. Bato’s beheer, de moedermaatschappij, had de fabriek al op 30 september 1974 overgedragen aan de steenfabriek. Bato’s Erf was opgericht door Bato’s Beheer. Bato’s Beheer bezat 100% van de aandelen van Bato’s Erf. In principe hadden beide rechtspersonen dezelfde bestuurder. Bato’s Beheer is zelfs bestuur gaan voeren over Bato’s Erf.
Het hof
Het hof oordeelde dat de maatschappelijke en economische verwevenheid, dus door het bezit van alle aandelen en door het gezamenlijk bestuur, zo was, dat Bato’s Beheer volledig bij Bato’s Erf betrokken was. Doordat men volledig betrokken was gebleven, viel de exploitatie ook onder de verantwoordelijkheid van Bato’s Beheer.
Hoge Raad
De Hoge Raad oordeelde dat het feit dat een moedermaatschappij en de dochtermaatschappij dezelfde bestuurder en aandeelhouder hebben er nog niet voor zorgt dat de bedrijfsactiviteiten van de dochtermaatschappij bedrijfsactiviteiten van de moedermaatschappij worden. Het feit dat het bestuur en de aandeelhouder hetzelfde zijn, heeft dus nog niet tot gevolg dat de moedermaatschappij voor alle onrechtmatige activiteiten aansprakelijk is.
Kern
Het feit dat er sprake is van hetzelfde bestuur en dezelfde aandeelhouder leidt niet automatisch tot aansprakelijkheid van de moedermaatschappij. Dit kan wel het geval zijn wanneer de rechtspersoonlijkheid is gebruik om onder deze aansprakelijkheid uit te komen.
