Verenigde Bootlieden - Arrest
Casus
Vrijwel alle aandeelhouders van Verenigde Bootlieden BV zijn werknemers van de vennootschap. Verenigde Bootlieden had financiële reserves opgebouwd tot een voor de financiering van het bedrijf onnodig hoog bedrag. Uitkering van dit bedrag of een aanmerkelijk deel ervan aan aandeelhouders stuitte op problemen omdat niet alle aandeelhouders een dergelijke fiscaal belaste uitkering wenselijk achtten. De directie heeft ter oplossing van dit probleem voorgesteld dat de aandeelhouders ieder een eigen BV zouden oprichten; uitkering kon dan met gebruikmaking van de deelnemingsvrijstelling onbelast aan de BV van de aandeelhouder geschieden en iedere aandeelhouder kon zelf bepalen of hij de aan zijn BV toegekende uitkering al dan niet in de BV wilde houden. Vereist was dan wel dat de BV een aandeel van tenminste 5% in het kapitaal van de vennootschap bezat. Bij vier aandeelhouders was dit niet het geval. Vervolgens is de gedachte gerezen om het belang van deze aandeelhouders op te trekken tot tenminste 5%, hetgeen ten koste van het aandeel van de overige aandeelhouders diende te gaan. Daarom werd door de AVA besloten tot een emissie van aandelen aan deze vier (zodat ook zij aan het vereiste van 5% zouden voldoen), waarbij het voorkeursrecht van de andere aandeelhouders werd uitgesloten. Aandeelhouder Van den Berge vordert vernietiging van dit besluit.
Hoge Raad
Blijkens artikel 2:206a BW laat het wettelijk stelsel toe dat bij een bepaalde emissie het belang van aandeelhouders wordt verminderd door beperking of uitsluiting van het voorkeursrecht.
Van schending van het beginsel van gelijke behandeling van aandeelhouders is geen sprake indien voor de ongelijke behandeling een redelijke en objectieve rechtvaardiging kan worden aangewezen. De bijzondere omstandigheden, met name het bijzondere karakter van de vennootschap (aandeelhouder/werknemer) en de omstandigheid dat het gaat om het opheffen van een voor vier aandeelhouders nadelige fiscale ongelijkheid door maatregelen welke voor de andere aandeelhouders slechts een relatief geringe daling van hun belang meebrachten, vormen een zodanige rechtvaardiging.
Artikel 2:201 lid 2 BW bevat dwingend recht en wordt door artikel 2:206a BW niet terzijde gesteld.
N.B. Onjuist is dat indien de statuten van een besloten vennootschap een aanbiedingsregeling overeenkomstig het stelsel van artikel 2:195 lid 4 BW bevatten, zij niet tevens – voor aandelen van dezelfde soort – een goedkeuringsregeling als voorzien in artikel 2:195 lid 3 BW mogen behelzen.
De uitleg van de statuten is voorbehouden aan de rechter die over de feiten oordeelt.
