Casus
De verweerder in deze zaak was directeur en enig aandeelhouder van twee besloten vennootschappen, die een fiscale eenheid voor de omzetbelasting vormden. Aan deze fiscale eenheid zijn in 1997 en in 1998 in totaal zeven naheffingsaanslagen omzetbelasting opgelegd tot een bedrag van ƒ 2.021.297,--. Dit bedrag is niet betaald. Beide vennootschappen zijn in 1998 failliet verklaard.
De Ontvanger (van de Belastingdienst Oost) heeft een verklaring voor recht gevraagd dat de verweerder jegens hem onrechtmatig heeft gehandeld en hij heeft gevorderd dat de verweerder aan hem de daardoor geleden schade, zal moeten voldoen. De rechtbank heeft deze vordering toegewezen en het hof heeft het afgewezen.
Hoge Raad
De Hoge Raad stelt dat het hof in verband met de door de Ontvanger gestelde primaire grondslag van zijn vordering allereerst moest beoordelen of de aan de verweerder verweten handelingen onrechtmatig jegens deze zijn geweest, waarbij het hof alle omstandigheden in aanmerking behoorde te nemen.
De Hoge Raad bepaald dat in geval van benadeling van een schuldeiser van een vennootschap door het onbetaald en onverhaalbaar blijven van diens vordering, naast de aansprakelijkheid van de vennootschap mogelijk ook, afhankelijk van de omstandigheden van het concrete geval, grond zal zijn voor aansprakelijkheid van degene die als bestuurder heeft bewerkstelligd of toegelaten dat de vennootschap haar wettelijke of contractuele verplichtingen niet nakomt.
Alleen wanneer de bestuurder van een vennootschap voldoende ernstig verwijt kan worden gemaakt, kan aangenomen worden dat hij onrechtmatig heeft gehandeld jegens de schuldeiser van de vennootschap.
Kern
In dit arrest is een aantal maatstaven voor externe bestuurdersaansprakelijkheid ge(her)formuleerd. I.c. heeft de Hoge Raad de Beklamel-norm verder aangevuld door te stellen dat niet alleen wanneer men handelt in naam van een vennootschap, maar ook wanneer men heeft bewerkstelligd of toegelaten dat de vennootschap haar wettelijke of contractuele verplichtingen niet nakomt, er mag worden aangenomen dat er sprake is van een onrechtmatige daad van een bestuurder.
