Verwijdering vennoot uit een vennootschap onder firma door een andere vennoot.
Casus
Vennootschap onder firma Vinke & Co. wordt gevoerd door de broers G. Warnderink Vinke en Th. E. Warnderink Vinke en hun achterneven A. Vinke en E. Vinke. Op 11 maart 1968 stuurt G. een brief aan Th. E. waarin staat dat Th. E. onmiddellijk uit de vennootschap wordt gezet. Uit het vennootschapscontract blijkt dat de vennootschap alleen tussentijds beëindigd kan worden wegens de wettelijke redenen van art. 7:818 lid 1 sub d BW. Th. E. Warnderink Vinke vordert ongedaanmaking van deze opzegging en wil weer terug in de v.o.f.
Rechtbank en hof
De rechtbank wijst de vordering toe. Zij acht het in strijd met het karakter van een vennootschap dat het ene lid het andere lid zonder instemming van andere vennoten uit de vennootschap kan zetten. Het Hof bekrachtigt dit vonnis. Het Hof bevestigt dat verwijdering van een vennoot slechts kan plaatsvinden door de overige vennoten gezamenlijk. Dit vloeit voort uit het karakter van de vennootschap, dat immers gericht is op samenwerking. Daarmee in strijd zou zijn als één vennoot naar eigen goeddunken aan de onderlinge samenwerking van zijn medevennoten een eind kon maken.
Hoge Raad
De Hoge Raad overweegt dat het Hof er kennelijk vanuit gaat dat er een dwingende rechtsregel bestaat, die bepaalt dat verwijdering van een vennoot slechts kan gebeuren door de andere vennoten gezamenlijk. Een dergelijke rechtsregel bestaat echter niet. Volgens de Hoge Raad verzet het karakter van een vennootschap zich er niet tegen verzet dat in het vennootschapscontract een bepaling wordt opgenomen, die opzegging van een vennoot zonder medewerking van andere vennoten mogelijk maakt. Wel moet een dergelijke bepaling uitdrukkelijk in de overeenkomst zijn opgenomen. Van zo'n regeling was in casu geen sprake, dus de Hoge Raad verwerpt het beroep alsnog.
Conclusie
Uit deze zaak blijkt dat verwijdering van een vennoot uit een vennootschap door een andere vennoot (ook zonder instemming van andere vennoten) mogelijk is. Wel moet een dergelijke uitsluiting een uitdrukkelijke grond hebben in het vennootschapscontract.
