Feiten
Twee aandeelhouders van Forum Bank N.V hadden een algemene vergadering van aandeelhouders bijeengeroepen tot behandeling van een voorstel om de vennootschap een groot deel van hun aandelen te laten inkopen. Ondanks dat er tegen dit voorstel veel verzet was van de directie en diverse andere aandeelhouders, werd het toch aangenomen. De twee aandeelhouders voerden aan dat, ook al behoort inkoop van eigen aandelen in het algemeen tot de bevoegdheid van het bestuur, de AVA bevoegd is de directie opdracht te geven een bepaald aantal eigen aandelen voor een bepaalde prijs van een bepaalde koper te kopen. Dit omdat de bestuurders ondergeschikt zijn aan de algemene vergadering.
Twee andere aandeelhouders vorderen nietigverklaring van het besluit van de AVA, namelijk wegens strijd met o.a. de wet en de statuten van de vennootschap.
Hof
Het Hof heeft vastgesteld dat de bevoegdheid tot inkoop alleen toekomt aan de directie (op grond van artt. 41a, 43 en 47 K. en de statuten van de N.V). De nietigheid is terecht ingeroepen omdat het besluit geen instemming had van het bestuur.
Hoge Raad
Kan de algemene vergadering van een N.V. rechtsgeldig een besluit nemen, waarbij zij aan de directie opdraagt iets te doen, dat volgens wet en de statuten tot de bevoegdheid van de directie behoort? De Hoge Raad betoogde net als het Hof dat de bevoegdheid tot inkoop van eigen aandelen, m.u.v. statutaire afwijking, alleen toekomt aan de directie. Nu het besluit geen instemming van het bestuur had, was het besluit van de AVA nietig.
De Hoge Raad overwoog ‘dat ook de algemene vergadering de bij wet en statuten getrokken grenzen harer bevoegdheid niet mag overschrijden en dat het Hof (…) heeft vastgesteld dat de inkoop van eigen aandelen uitsluitend tot de bevoegdheid van de directie behoort’.
De Hoge Raad stelt dat de stelling dat de AVA bevoegd is aan de directie opdracht te geven eigen aandelen voor een bepaalde prijs van bepaalde aandeelhouders te kopen, onjuist is. De AVA moet dus de scheiding van de bevoegdheden respecteren.
Kern
In dit arrest heeft de Hoge Raad het beginsel van de zelfstandigheid van het bestuur neergelegd. Dit beginsel houdt in dat het bestuur (mits het binnen de door wet en statuten getrokken grenzen blijft) niet van de aandeelhoudersvergadering instructies hoeft te aanvaarden. Een AVA is niet bevoegd het bestuur te bewegen om de vennootschap eigen aandelen in te laten kopen. Deze bevoegdheid komt alleen toe aan het bestuur.
