Feiten
Een Utrechtse bank heeft opdracht gekregen om de kas van de Makro dagelijks op te halen. De Bank schakelt hierop het bedrijf Securicor in. Securicor wordt vervolgens overvallen. De Makro is hiervoor verzekerd en de Makro ontvangt van de verzekering een geldbedrag. De verzekering wil zich vervolgens verhalen op Securicor. Deze weigert en beroept zich op een bepaling in de overeenkomst tussen de bank en Securicor. Het Hof wijst dit af.
Kern
De omstandigheden brengen mee dat Makro de bepaling ook tegen zich moet laten gelden, ook al zijn zij een derde partij. Dit zou slechts anders zijn als de aansprakelijkheidsbeperking van dien aard was dat Makro met het bestaan van een dergelijk beding geen rekening had behoeven te houden, namelijk als zij erop mocht vertrouwen dat het beding tegen haar niet zou werken. De aard van de overeenkomst (bedrijfsmatige overeenkomst) en van het beding (normaal beding of raar beding) i.v.m. de bijzondere relatie tussen derde en exonerant. (Securicor had schijn opgeroepen en er werd iedere dag gehandeld)
