De leveringseis. Is er sprake van bezitsverschaffing van Swarttouw aan Matex?
Is er voldaan aan de eis van goede trouw in het geval van beschikkingsonbevoegdheid?
Casus
Hoogovens verkocht en leverde aan Swarttouw partijen stalen platen onder eigendomsvoorbehoud, bestemd voor de constructie van opslagtanks voor Matex. De aannemingsovereenkomst tussen Matex en Swarttouw bepaalde onder meer dat Swarttouw de bij haar leveranciers bestelde stalen platen aan Matex in eigendom zou overdragen zodra de platen op het terrein van Swarttouw of Matex waren aangekomen, in welk verband Swarttouw aan Matex eigendomsverklaringen zou verstrekken. Telkens wanneer Hoogovens een partij stalen platen op het terrein van Swarttouw had afgeleverd, werden de platen door Matex voorzien van haar slagmerk en vervolgens naar een ander terrein van Swarttouw vervoerd. Dit terrein werd omrasterd en bewaakt door Matex. Wanneer Swarttouw failleert, stellen zowel Hoogovens als Matex eigenaar te zijn van de op het omrasterde terrein (on)verwerkte stalen platen. Het hof verwerpt de grief tegen de beslissing van de rechtbank dat de aanvankelijke levering is voltooid: niet alleen Matex heeft door het materiaal onder haar eigen supervisie te stellen daden van toe-eigening verricht, maar ook Swarttouw, waaruit de wil kenbaar was om Matex de eigendom van dit materiaal te verschaffen.
Hoge Raad
Het hof heeft de door Swarttouw aan Matex verstrekte eigendomsverklaringen en het stellen van het materiaal door Matex onder eigen supervisie – door het hof aangeduid als ‘daden van toe-eigening’ – niet onafhankelijk van elkaar bezien, maar kennelijk uit deze feiten tezamen afgeleid dat de rechtbank terecht heeft geoordeeld dat heeft plaatsgevonden wat in de gegeven omstandigheden was vereist om, ondanks een eigendomsvoorbehoud als door Hoogovens gepretendeerd, aan Matex het bezit van het materiaal te verschaffen, zoals hier voor een voltooide levering daarvan aan Matex nodig was. Het hof heeft daarmee geen rechtsregel geschonden, noch een oordeel gegeven dat onbegrijpelijk of onvoldoende gemotiveerd is.
Onjuist is de stelling dat het enkele feit dat Matex rekening had moeten houden met de mogelijkheid dat de leveranciers van Swarttouw onder eigendomsvoorbehoud aan Swarttouw hadden geleverd, reeds meebrengt dat Matex zodanige grond had te twijfelen aan de bevoegdheid van Swarttouw om over het voormelde materiaal te beschikken, dat zij een nader onderzoek naar de beschikkingsbevoegdheid van Swarttouw had behoren te doen.
De Hoge Raad verwerp het beroep.
