Wanneer kan apparatuur worden aangemerkt als bestanddeel van een onroerend goed?
Casus
Bergel BV koopt van Dépex BV diverse apparatuur voor haar farmaceutische fabriek. In de leveringsvoorwaarden heeft Dépex zich een eigendomsvoorbehoud toebedeeld: "De apparatuur blijft eigendom van Dépex, totdat Bergel BV volledig aan haar verplichtingen heeft voldaan". Als Dépex de apparatuur op een gegeven moment wil terugnemen, krachtens haar eigendomsvoorbehoud, verweert Bergel zich door te stellen dat de apparatuur door natrekking tot onzelfstandig onderdeel van de fabriek zijn geworden.
Kern
Het gaat erom wanneer de apparatuur kan worden aangemerkt als bestanddeel van het gebouw waarin de fabriek gevestigd is. Het gebouw moet worden aangemerkt als hoofdzaak. Bestanddelen van een hoofdzaak volgen namelijk goederenrechtelijk deze hoofdzaak, maar òòk met betrekking tot eigendomskwesties.
De critéria voor bestanddeelvorming blijken uit artikel 3:4 lid 1 & 2: òf verband volgens verkeersopvatting òf verband wegens hecht fysiek verband.
Voor beide criteria geldt dat er een voldoende verband moet zijn tussen de apparatuur en het gebouw. Apparatuur en gebouw moeten naar verkeersopvatting als een geheel worden gezien.
Met betrekking tot een fabrieksgebouw kunnen de bestanddelen als bedoeld in artikel 3:4-1 in drie groepen worden ingedeeld:
'Logische' onzelfstandige onderdelen: Als deze zaken in een gebouw ontbreken, zou het fysiek zin - als gebouw - niet compleet zou zijn. ( deuren, ramen, goten etc.)
Onderdelen zonder welke het fabrieksgebouw niet compleet zou zijn: dit in verband met het gegeven dat het gebouw een fabriek is. ( sanitaire voorzieningen, verwarmingsapparatuur ).·
Als het gebouw dermate bijzondere kenmerken (extreme afmetingen of unieke vormen ) vertoont dat het in zijn functioneren van de aanwezigheid van bepaalde apparatuur afhankelijk is.
Aldus kunnen machines en andere apparaten slechts in uitzonderingsgevallen worden gerekend tot bestanddelen van de fabriek waarin zij zijn geplaatst. Namelijk indien er sprake is van:
- Specifieke onderlinge afstemming .
- Apparatuur die niet of nauwelijks buiten dit gebouw toepassing kan vinden.
