Hovuma /Spreeuwenberg - Arrest

Feiten
In deze zaak ging het om de vraag of een Commanditaire Vennootschap met één beherend vennoot een afgescheiden vermogen had. Hovuma Magazijninstellingen BV had hier cassatie ingesteld tegen Spreeuwenberg Beheer BV.
Casus
Spreeuwenberg was beherend vennoot bij commanditaire vennootschap Spreeuwenberg Magazijninrichting. Deze commanditaire vennootschap verkocht al haar activa aan Hovuma. Roggeveen, een verkoper, had een belangrijke rol in de CV en hij weigerde na de overdracht bij Hovuma in dienst te treden. In verband hiermee werd de verkoopprijs van genoemde transactie van ƒ 400 000 verminderd tot ƒ 100 000. Aan die vermindering van de koopprijs werd in de overeenkomst in art 11 een door Hovuma verschuldigde boete ad ƒ 300 000 verbonden voor het geval dat Roggeveen binnen twee jaren na 'heden' voor Hovuma of een daarmede verbonden vennootschap werkzaam zou zijn. De boete werd niet voor matiging vatbaar verklaard.
Roggeveen trad in november 1994 in dienst bij de firma Intra-Profiel BV, een firma die na een fusie in 1995 onder dezelfde firma viel als Hovuma, Polypal Nederland BV.
Spreeuwenberg stelde dat Roggeveen voor Hovuma dan wel voor een met haar verbonden onderneming heeft gewerkt en deswege de overeengekomen boete verschuldigd is. De rechtbank wees de vordering af op de grond dat Intra-Profiel niet als een met Hovuma verbonden firma is aan te merken nu Hovuma in het geheel geen profijt van de indiensttreding van Roggeveen bij Intra-Profiel heeft gehad en Hovuma in deze laatste onderneming ook geen zeggenschap had. Spreeuwenberg heeft zich hiertegen geageerd terwijl Hovuma bestrijdt dat Spreeuwenberg bevoegd is de boete te vorderen omdat de commanditaire vennootschap opgeheven is en Spreeuwenberg niet aannemelijk heeft gemaakt dat deze vordering aan haar is overgedragen.
Hoge Raad
Voor ons is van belang hier dat de Hoge Raad geoordeeld heeft dat: “het Hof is uitgegaan van een onjuiste rechtsopvatting indien het heeft geoordeeld dat een commanditaire vennootschap met één beherend vennoot geen afgescheiden vermogen kent en dat dit meebrengt dat vennootschapsvorderingen tot het vermogen van de beherend vennoot behoren en dat deze de vorderingen, ook na ontbinding van de commanditaire vennootschap, zonder meer kan instellen.”
