Lunderstädt/De Kok c.s. (HR 21-12-2001, LJN AD2684; NJ 2005/95)
De regel uit Peeters q.q./Gatzen heeft geleid tot uitvoerig debat in de literatuur. Dit richtte zich in belangrijke mate op de vraag of in de gevallen waarin (de gezamenlijke) schuldeisers uitsluitend benadeeld zijn in hun verhaalsmogelijkheden doordat baten aan de boedel zijn onttrokken slechts aan de curator een vordering uit hoofde van artikel 6:162 BW jegens de onrechtmatig handelende derde toekomt of dat een zodanige vordering ook rechtstreeks door de onrechtmatig benadeelde schuldeiser zelf kan worden ingesteld. Het antwoord op deze vraag moet in laatstvermelde zin luiden; van een exclusieve bevoegdheid van de curator om deze vordering(en) geldend te maken is geen sprake.
In een geval als het onderhavige, waar het gaat om een aanspraak tot schadevergoeding van een benadeelde schuldeiser jegens een derde, kan verstoring van de in het faillissement te handhaven ‘paritas creditorum’ zich niet kan voordoen. De sinds 1983 in de rechtspraak aangenomen bevoegdheid van de curator om ten behoeve van door de gefailleerde benadeelde schuldeisers een vordering uit onrechtmatige daad in te stellen tegen een bij die benadeling betrokken derde staat, ongeacht of de curator van deze bevoegdheid gebruik maakt of niet, niet eraan in de weg dat die schuldeisers de aan hen toekomende vordering zelf in rechte geldend maken. Voor een andersluidend oordeel zou, mede in verband met het bepaalde in artikel 1 van het Eerste Protocol bij het EVRM, een wettelijke grondslag vereist zijn. Deze kan echter, anders dan in verband met het bepaalde in artikel 49 Fw het geval zou zijn bij een op artikel 3:45 BW gebaseerde vordering, noch in de Faillissementswet, noch in enige andere wettelijke bepaling worden gevonden; ook niet in artikel 2:248 BW, welk artikel slechts in het geval van kennelijk onbehoorlijke taakvervulling door het bestuur aan de curator van een gefailleerde besloten vennootschap de mogelijkheid biedt de bestuurders van die vennootschap aan te spreken voor het tekort in het faillissement.
Het belang van een behoorlijke afwikkeling van het faillissement kan meebrengen dat indien ook de curator, op grond van hetzelfde feitencomplex, uit hoofde van zijn bevoegdheid een vordering uit onrechtmatige daad geldend maakt jegens de derde, eerst op deze vordering en vervolgens op die van de individuele schuldeiser wordt beslist.
