Op basis van art. 2:248 BW is de bestuurder gehouden het tekort dat overblijft na het faillisement te betalen. Wordt de bestuurder hierdoor ook een crediteur van de boedel?
In casu wilde de bestuurder een claim van de Ontvanger verlaagd krijgen. Dit probeerde hij toe doen door middel van art. 69 Fw. de curator te dwingen tot actie. Deze actie staat alleen open voor schuldeisers van de gefailleerde vennootschap. De vraag is dus of een bestuurder doordat hij op basis van art. 2:48 BW aan de boedel betaalt ook een schuldeiser van de boedel wordt.
De Hoge Raad beslist alsvolgt: Als een bestuurder op basis van art. 2:248 BW tekorten van het faillissement betaalt, krijgt deze geen regresrecht en wordt daardoor ook geen schuldeiser van de boedel. Regresrecht toekennen aan een bestuurder die op basis van art. 2:248 BW betaald heeft is niet te rijmen met de verplichting de tekorten te betalen en de aansprakelijkheid van de bestuurder op grond van art. 2;248 BW.
