Linge Ziekenhuis (Hof Amsterdam 01-05-1980, NJ 1981, 271)

Adviesbevoegdheid van de ondernemingsraad, art. 25 WOR.
Casus
De ondernemer van het Linge-ziekenhuis besluit tot sluiting en functiewijziging van het ziekenhuis. Hij vraagt de staatssecretaris om hieraan goedkeuring te verlenen. Volgens de ondernemer werd hiermee beoogd vrijblijvend het oordeel van de staatssecretaris te krijgen. De ondernemingsraad heeft voor deze (voorgenomen) sluiting geen gunstig advies gegeven. Zij stelt beroep in bij de Ondernemingskamer, aangezien zij meent dat zij niet tijdig op de hoogte is gesteld van het besluit van de ondernemer en dat daardoor in strijd is gehandeld met art. 25 WOR.
Rechtsvraag
Kan een besluit niet in redelijkheid tot stand komen, wanneer de OR niet om advies is gevraagd?
Ondernemingskamer
De Ondernemingskamer is van oordeel dat de brief van de staatssecretaris gezien dient te worden als een besluit. Tegen dit besluit staat beroep open bij de Ondernemingskamer, nu het besluit van de ondernemer niet in overeenstemming is gebracht met het door de ondernemingsraad uitgebrachte advies.
Dit advies is nodig om tot een afweging van de betrokken belangen te kunnen komen. Het moet op een zodanig tijdstip worden gevraagd, dat het van wezenlijke invloed kan zijn op het te nemen besluit. Als de ondernemer het besluit eigenlijk al heeft genomen voor hij advies vraagt aan de ondernemingsraad, kan dit advies geen wezenlijke invloed meer hebben op het besluit en is voorbijgegaan aan de functie van de ondernemingsraad.
In casu betekent dit dat de ondernemer in redelijkheid niet tot het besluit had kunnen komen.
