Casus
Werknemer Philips ondertekent een brief waarin hij zich akkoord verklaard met de bijgevoegde arbeidsvoorwaarden. In de arbeidsvoorwaarden waarnaar wordt verwezen is een concurrentiebeding opgenomen. Wordt voldaan aan het schriftelijkheidsvereiste van artikel 7:653 BW?
Hoge Raad
Aan het schriftelijkheidsvereiste van artikel 7:653 lid 1 BW is in ieder geval voldaan indien de werknemer een arbeidsovereenkomst waarin een concurrentiebeding is opgenomen of enig ander geschrift waarin een concurrentiebeding als onderdeel van de arbeidsvoorwaarden voorkomt, heeft ondertekend. De werknemer brengt daarmee tot uitdrukking dat hij heeft kennisgenomen van het concurrentiebeding zoals dat in schriftelijke vorm aan hem ter hand is gesteld en dat hij daarmee instemt.
Wordt in een arbeidsovereenkomst of in een brief verwezen naar bijgevoegde arbeidsvoorwaarden waarin een concurrentiebeding voorkomt en verklaart de werknemer zich door ondertekening van die arbeidsovereenkomst of die brief akkoord met die arbeidsvoorwaarden, dan is eveneens aan dit schriftelijkheidsvereiste voldaan. Ook in een zodanig geval heeft de werknemer door die ondertekening tot uitdrukking gebracht dat hij heeft kennisgenomen van het concurrentiebeding zoals dat in schriftelijke vorm aan hem ter hand is gesteld en dat hij daarmee instemt.
Voor de geldigheid van het concurrentiebeding is niet vereist dat de bijgevoegde arbeidsvoorwaarden zelf waarnaar in de begeleidende brief wordt verwezen, door de werknemer zijn ondertekend.
Evenmin is vereist dat de akkoordverklaring op de brief uitdrukkelijk naar de aanvaarding van het concurrentiebeding verwijst.
Niet aan dit schriftelijkheidsvereiste is voldaan in gevallen waarin de werknemer zich schriftelijk akkoord verklaart met de inhoud van een niet als bijlage in schriftelijke vorm bijgevoegd document waarin een concurrentiebeding voorkomt, tenzij de werknemer daarbij uitdrukkelijk verklaart dat hij met het concurrentiebeding instemt.
