Feiten
De Rooij van Van Olphen een onroerende zaak gekocht te Bloemendaal. De Rooij was van plan het woonhuis te laten slopen en het perceel in twee percelen te laten verkavelen en daar vervolgens twee geschakelde woonhuizen te laten bouwen. Voorafgaande aan de levering van de onroerende zaak wordt het gebied waarin de onroerende zaak ligt aangewezen als beschermd dorpsgezicht. Aanvragen voor een sloop- of bouwvergunning worden vanaf dat moment aangehouden in afwachting van een nieuw bestemmingsplan.
De Rooij vordert ontbinding van de koopovereenkomst stellende dat Van Olphen is tekortgeschoten in zijn uit die overeenkomst voortvloeiende verplichtingen, omdat de onroerende zaak niet voldeed aan hetgeen De Rooij op grond van de overeenkomst mocht verwachten. Van Olphen heeft immers volgens De Rooij in art. 5.3 van de koopovereenkomst gegarandeerd dat het gekochte geschikt was voor gebruik als bouwperceel voor twee halfvrijstaande woonhuizen. Nu het gebied waarin de onroerende zaak ligt als beschermd dorpsgezicht is aangewezen heeft Van Olphen deze garantie niet waargemaakt.
Hoge Raad
De uitleg van de koopovereenkomst dient aan de hand van de Haviltex-maatstaf te geschieden. Hoe in een schriftelijk contract de verhouding van partijen is geregeld kan niet alleen beantwoord worden op grond van een zuiver taalkundige uitleg van de in het contract opgenomen bepalingen. De taalkundige betekenis is niettemin bij de uitleg van het contract van groot belang. Maken partijen gebruik van een standaardakte waarin staat dat de verkochte zaak de feitelijke eigenschappen zal bezitten die voor een normaal gebruik daarvan nodig zijn, dan heeft "normaal gebruik" betrekking op wat daaronder naar gangbaar spraakgebruik wordt verstaan ten aanzien van de grond en van de zich daarop bevindende bebouwing ten tijde van de verkoop. In beginsel valt daaronder niet de sloop van de bebouwing gevolgd door het gebruik van de grond als bouwgrond. Het enkele feit dat daarnaast specifiek is opgenomen dat koper van plan is de onroerende zaak te gebruiken als bouwperceel, brengt niet zonder meer mee dat de overeenkomst zo uitgelegd dient te worden dat de verkoper ervoor instaat dat sloop van de zich op dat perceel ten tijde van de verkoop bevindende bebouwing mogelijk en geoorloofd zal zijn. Op de koper rust de stelplicht en bewijslast dat de verkoper bedoelde eigenschappen wel heeft willen garanderen of dat de koper daarop redelijkerwijs heeft mogen vertrouwen.
