Matatag/De Schelde (HR 31-12-1993, NJ 1995, 389)
Casus
Een Filippijnse scheepsrederij, Matatag, geeft in april 1988 aan De Schelde opdracht om bepaalde reparatiewerkzaamheden uit te voeren. In deze rechtsverhouding zijn de Cebosinevoorwaarden van toepassing. De werkzaamheden, die door De Schelde worden uitbesteed aan SKS Piping, worden echter niet goed uitgevoerd. Een van de gebreken die later worden ontdekt is o.m. lekkage bij de flens, dat is veroorzaakt doordat de leidingen (ter controle) na de reparatie zelf niet waren afgeperst. In ieder geval is hierdoor schade aan de lading ontstaan waarvan Matatag nu vergoeding vordert.
Rechtsvraag
De Schelde beroept zich op de Cebosinevoorwaarden, waardoor zij niet aansprakelijk zou zijn voor "gevolgschade", veroorzaakt door wegens haar aangestelde onderaannemers. Matatag acht dit beroep in strijd met de goede trouw. Is dit terecht?
Hoge Raad
De Hoge Raad acht het beroep van De Schelde op de Cebosinevoorwaarden zeker niet in strijd met de goede trouw op grond van de redelijkheid en billijkheid. De Hoge Raad wijst er op dat partijen behoren tot een bedrijfstak waarin toepassing van algemene voorwaarden (waaronder dus ook exoneraties) vrij gebruikelijk is. Werkzaamheden als de onderhavige worden normalerwijs door scheepwerven uitbesteed aan specialisten. Dit alles tezamen maakt dat de exoneraties in de Cebosinevoorwaarden niet als in strijd met de redelijkheid en billijkheid kunnen worden aangemerkt en ook niet, in geval van schade ontstaan door het handelen van ondergeschikten, een beroep daarop. Bovendien is ook niet vastgesteld dat De Schelde zelf nalatig is geweest ter zake van toezicht op de uitvoering van de werkzaamheden.
