Misverstand: Bunde/Erckens - Arrest
Gemeente Bunde/Erckens (HR 17-12-1976, NJ 1977, 241)
Casus
Echtelieden Erckens verkochten een aantal percelen grond aan de gemeente Bunde. In de overeenkomst stond letterlijk dat: ‘de belastingschade, vallende op de bedrijfsschadevergoeding, welke laatste geacht wordt in de overeengekomen koopprijs mede te zijn begrepen, door de gemeente aan Erckens zal worden vergoed. De gemeente had onder de term belastingschade echter een meer beperkte betekenis toegekend (F 2.000,--) dan Erckens (meer dan F 50.000,-, want Erckens dacht ook dat de inkomstenbelasting onder het begrip viel). Erckens dachten dat al hun belastingschade onder het begrip viel, de gemeente rekende alleen op een zeer beperkte schadevergoeding.
Rechtsvraag
Valt de inkomstenbelasting in casu ook onder de te vergoeden belastingschade door de gemeente?
Hoge Raad
De Hoge Raad geeft in haar overweging een algemeen criterium om vast te stellen of er al dan niet ene overeenkomst tot stand is gekomen, als er sprake is van een misverstand: de vraag of al dan niet een overeenkomst tot stand is gekomen, hangt in beginsel af van wat beide partijen over en weer hebben verklaard en uit elkaars verklaringen en gedragingen, overeenkomstig de zin die zij daaraan in de gegeven omstandigheden redelijkerwijze mochten toekennen, hebben afgeleid.
Na dit algemeen criterium geeft de Hoge Raad nog vier criteria die hier een rol bij kunnen spelen. Ten eerste kan er worden bezien welke betekenis meer voor de hand lag. Ten tweede kan worden bezien of de uitdrukking een vaststaande technische betekenis heeft, en zo ja of de partij die niet van deze betekenis is uitgegaan, deze betekenis wel kende. In de derde plaats kan er worden bezien of een partij zich heeft laten bijstaan door deskundige bijstand en de andere partij hierover heeft ingelicht Tot slot kan er worden bezien of de betekenis die een van de partijen aan de uitdrukking toekende zou leiden tot een resultaat dat niet goed zou rijmen met wat de overeenkomst probeerde te beogen. De Hoge Raad komt tot het oordeel dat de gemeente de inkomstenbelasting niet hoeft te betalen.
