Woningstichting Eigen Haard (HR 28-09-2018, ECLI:NL:HR:2018:1810)
Casus
Woningcorporatie Eigen Haard verhuurt aan X een sociale huurwoning. Het is in de huurovereenkomst bepaald dat X de woning niet mag onderverhuren of aan derden in gebruik mag geven, tenzij Eigen Haard hiervoor vooraf schriftelijk toestemming voor geeft. X heeft gedurende 6 maanden toch onderdak geboden aan een gezin, dat anders op straat kwam te staan. Het was volgens X de bedoeling dat dit slechts voor een korte periode was. Eigen Haard stelt dat X zodanig tekort is geschoten in de nakoming van zijn verplichtingen (namelijk de niet-naleving van het verbod) dat ontbinding van de huurovereenkomst gerechtvaardigd is. X stelt echter dat de tekortkoming de ontbinding niet rechvaardigt, vanwege de uitzonderlijke omstandigheden van het geval.
Rechtsvraag
In deze zaak worden er twee prejudiciële vragen aan de Hoge Raad gesteld:
- Dient artikel 6:265 lid 1 BW letterlijk te worden uitgelegd, in die zin dat iedere tekortkoming van een partij in de nakoming van een van haar verbintenissen aan de wederpartij de bevoegdheid geeft om de overeenkomst geheel of gedeeltelijk te ontbinden, tenzij het maken van een uitzondering hierop gerechtvaardigd is aan de hand van de in de wet genoemde gezichtspunten? Zo niet, hoe dient deze bepaling dan te worden uitgelegd?
- Is er aanleiding bijzondere eisen te stellen ten aanzien van ontbinding van een overeenkomst van huur en verhuur van sociale woonruimte, ervan uitgaande dat zulke woonruimte schaars is?
Hoge Raad
De Hoge Raad geeft in dit arrest antwoord op twee prejuciële vragen over de uitleg van art. 6:265 lid 1 BW.
De eerste vraag beantwoordt de Hoge Raad door te verwijzen naar de structuur die de wetgever aan lid 1 gegeven heeft. Het gaat namelijk om een hoofdregel, die door een tenzij-bepaling (de uitzondering) wordt gevolgd. Deze tenzij-bepaling is niet slechts bij uitzondering toepasbaar, maar de hoofdregel en de tenzij-bepaling moeten in onderlinge samenhang worden begrepen. Een tekortkoming van voldoende gewicht geeft recht op ontbinding van de overeenkomst, niet elke tekortkoming. Rekening moet worden gehouden met de maatstaf van redelijkheid & billijkheid. Alle omstandigheden moeten volgens de Hoge Raad hierbij betrokken worden.
De tweede prejudiciële vraag beantwoordt de Hoge Raad negatief: er is geen behoefte aan bijzondere regels ten aanzien van sociale huurwoningen. De belangen die hierbij betrokken zijn, kunnen door de rechter voldoende worden afgewogen.
