Casus
Michelin is een in Nederland gevestigde NV die werkzaam is in de bandenindustrie. Michelin bood haar klanten een algemeen kortingssysteem gekoppeld aan het aantal banden die de klanten afnamen. Daarnaast voorzag zij in 1977 in een extra bonus gekoppeld aan het behalen van een verkoopdoel voor banden van personenauto’s. De commissie was van oordeel dat Michelin haar afnemers daarmee ongelijk van elkaar behandeld en de toegang van andere producenten op de markt beperkt. De commissie stelt dat dit een misbruik van machtspositie oplevert in de zin van artikel 86 EEG-verdrag. Michelin stelt dat zij geen machtspositie bezat en verweet de commissie dat zij de markt onjuist had afgebakend. Daarnaast werd door Michelin gesteld dat het door haar gebruikte kortingssysteem niet misleidend was.
Uitspraak
Artikel 86 verbiedt dat een onderneming misbruik maakt van een machtspositie op de gemeenschappelijke markt of op een wezenlijk deel daarvan. Vanuit dat oogpunt dienen de verschillende door partijen aangevoerde criteria en aanwijzingen voor het bestaan van een machtspositie worden onderzocht. Er moet dan gekeken worden naar:
- Het aandeel van Michelin op de relevante productenmarkt.
- De overige criteria en aanwijzingen voor of tegen het bestaan van een machtspositie.
Het Hof komt tot de conclusie dat Michelin een machtspositie op een wezenlijk deel van de gemeenschappelijke markt inneemt.
Rechtsregel
Om vast te stellen of er sprake is van schending van artikel 86 EEG-verdrag is de belangrijkste vraag of er sprake is van een machtspositie. Of er sprake is van een machtspositie wordt door twee pijlers bekeken:
- Wat is het aandeel van het bedrijf op de relevante productenmarkt?
- De overige criteria en aanwijzingen die voor of tegen het bestaan van een dergelijke machtspositie, de partijen zullen moeten betogen waarom zij vinden dat er wel of geen machtspositie bestaat.
