Rechtsvraag
Bij een tekortkoming bestaande in aflevering van een ondeugdelijke zaak, heeft de crediteur de keuze tussen nakoming (voor zover dit nog mogelijk is) en schadevergoeding in enigerlei vorm. Maar is de crediteur helemaal vrij te bepalen waarvoor hij kiest en in welke vorm eventuele schadevergoeding geschiedt?
Feiten
Enige tijd na de oplevering van het Rotterdams Plaza-gebouw, was er corrosie aan gevelplaten van het gebouw geconstateerd.
De opdrachtgever en eigenaar Nethou eist van de aannemer Multi Vastgoed, met een beroep op de garantie, dat de gehele gevelbeplating van het gebouw vervangen wordt. Dat gaat ruim 6 miljoen gulden kosten. Multi Vastgoed ziet ook een oplossing in de vervanging van enkele gevelplaten die zich in het zicht bevinden, en daarnaast aangepast onderhoud. Na een uitspraak van de Rechtbank ten gunste van Nethou, gaat Multi Vastgoed in hoger beroep bij het Hof.
Hof
Het Hof past de garantie heel strikt toe, en wijst de vordering daarom af. Het Hof acht de uitspraak van de rechtbank dus juist. Tevens wordt Multi Vastgoed veroordeeld in de proceskosten van het hoger beroep. Hierop gaat Multi Vastgoed in cassatie.
Hoge Raad
De Hoge Raad stelt dat de crediteur in beginsel de keuze heeft tussen nakoming, voor zover deze nog mogelijk is (dat wil hier zeggen het aanbrengen van een nieuwe gevelbeplating) en schadevergoeding in enigerlei vorm (in dit geval heeft Multi Vastgoed aangeboden vervanging van enkele panelen en een aangepast gevelonderhoud op haar kosten). De crediteur is volgens de Hoge Raad bij deze keuze echter wel gebonden aan de eisen van redelijkheid en billijkheid, waarbij onder andere de gerechtvaardigde belangen van de wederpartij een rol spelen. De Hoge Raad verwerpt het beroep en veroordeelt Multi Vastgoed in de kosten van het geding in cassatie.
