Haviltexcriterium (HR 13-11-2015, ECLI:NL:HR:2015:3303)
Casus
Partijen baseren op de tekst van een overeenkomst waarbij vermogensbestanddelen aan de echtgenoten worden toegescheiden haaks op elkaar staande bedoelingen en verwachtingen. Geen van beider interpretaties is aanstonds volstrekt onaannemelijk. Het hof overweegt dat het Haviltexcriterium hier geen uitkomst biedt en leidt vervolgens de betekenis van de desbetreffende passage af uit de tekst van de overeenkomst.
Hoge Raad
De Haviltexmaatstaf brengt mee dat ook indien bij de uitleg van een overeenkomst groot gewicht toekomt aan de taalkundige betekenis van de gekozen bewoordingen, de overige omstandigheden van het geval kunnen meebrengen dat een andere (dan de taalkundige) betekenis aan de bepalingen van de overeenkomst moet worden gehecht. Beslissend blijft immers de zin die partijen in de gegeven omstandigheden over en weer redelijkerwijs aan deze bepalingen mochten toekennen en hetgeen zij te dien aanzien redelijkerwijs van elkaar mochten verwachten.
Anders dan het hof heeft overwogen, is de Haviltexmaatstaf ook van toepassing indien partijen op de tekst van de overeenkomst haaks op elkaar staande bedoelingen en verwachtingen baseren en geen van beider interpretaties aanstonds volstrekt onaannemelijk is.
Het hof had dan ook mede in het licht van de door partijen aangevoerde omstandigheden moeten vaststellen welke betekenis aan de desbetreffende passage in de overeenkomst toekomt.
